Terms & Conditions

Article 1. Applicability

1.1 All offers, orders and agreements Growcenter Noord / Ventilatiesystemen EU BV to the exclusion of any other general conditions these Terms and Conditions (the Conditions) apply. These conditions are filed with the Chamber of Commerce in Amsterdam under number and will be sent on request. These conditions can also be viewed over the internet, see: http://www.growcenter-noord.nl.

1.2 Accepting an offer or placing an order means that you accept the applicability of these conditions.

1.3 The provisions can be waived only in writing these conditions shall remain in full force the remaining provisions in any case.

1.4 All rights and claims, as in these conditions and any further agreements for Growcenter Noord / Ventilatiesystemen EU BV are stipulated, are also stipulated for by Growcenter Noord / Ventilatiesystemen EU BV intermediaries and other third parties.

Article 2. Offers / agreements

2.1 All offers are without engagement and Growcenter Noord / Ventilatiesystemen EU BV expressly reserves the right to change prices, especially when under (legal) regulations. See also Article 3.6.

2.2 An agreement is only after acceptance of your order by Growcenter Noord / Ventilatiesystemen EU BV. Growcenter Noord / Ventilatiesystemen EU BV is entitled to refuse orders or attach certain conditions to the delivery, unless otherwise specified. If an order is not accepted, Growcenter Noord / Ventilatiesystemen EU BV this within ten (10) days after receipt of the order.

Article 3. Prices and payments

3.1 The prices for the products and services offered are in Euros, including VAT and excluding shipping, taxes or other charges unless otherwise stated or agreed in writing.

3.2 Payment must be made without discount or compensation within fourteen (14) days after the invoice date for deliveries within the Netherlands, and within twenty (21) days after the invoice date for deliveries outside the Netherlands, unless otherwise agreed in writing.

3.3 Payment can be made by bank transfer. When paying by bank transfer, the date of payment is the date of crediting the bank account of Growcenter Noord / Ventilatiesystemen EU BV respectively.

3.4 If the term of payment you should have been from the day that payment is in default and you want a default interest of 1% per month or part month on the outstanding amount from that day. If payment is made after a demand by Growcenter Noord / Ventilatiesystemen EU BV you for administration, an amount of twenty five euro (€ 25.00) and if Growcenter Noord / Ventilatiesystemen EU BV outsources its claim for collection, you also pay the collection costs, which at least fifteen percent (15%) of the outstanding amount, without prejudice to the competence of Growcenter Noord / Ventilatiesystemen EU BV to instead claim the actual extrajudicial collection costs.

3.5 If you Growcenter Noord / Ventilatiesystemen EU BV is entitled are in default on any payment, (the performance of) the relevant agreement and related agreements to suspend or dissolve.

3.6 If the prices for the goods and services increased in the period between the order and its execution, you are entitled to cancel the order or dissolve the agreement within ten (10) days after notice of the increase by Growcenter Noord / Ventilatiesystemen EU BV.

Article 4. Delivery

4.1 The delivery times stated by UGrowcenter Noord / Ventilatiesystemen EU BV are only indicative. Late delivery does not entitle you to compensation or the right to cancel your order or to terminate the agreement, unless the delay in delivery is such that you can not reasonably be required to leave the agreement intact. You are then entitled to cancel the order or terminate the agreement if necessary.

4.2 Delivery of the products will take place and when the products are ready for shipment to you.

Article 5. Retention

5.1 The ownership of products is transferred only when all you owe under any agreement Growcenter Noord / Ventilatiesystemen EU BV, has met. The risk of the goods shall pass at the time of delivery to you.

Article 6. Intellectual and industrial property

6.1 All intellectual and industrial property rights attached to the by Growcenter Noord / Ventilatiesystemen EU BV products delivered unconditionally.

6.2 Growcenter Noord / Ventilatiesystemen EU BV does not guarantee that the products delivered do not infringe any (unwritten) intellectual and / or industrial property rights of third parties.

Article 7. Complaints and liability

7.1 You have the obligation to inspect whether the products meet the agreement. If this is not the case, you should Growcenter Noord / Ventilatiesystemen EU BV as soon as possible and in any event within seven (7) days after delivery, or after observation reasonably possible, in writing and sufficient detail.

7.2 If it is demonstrated that the products do not meet the agreement, Growcenter Noord / Ventilatiesystemen EU BV has the choice to replace the corresponding returned products by new products or to refund the invoice value.

7.3 If you do not wish to purchase a product for any reason, you have the right to return the product within seven (7) days after delivery to Growcenter Noord / Ventilatiesystemen EU BV. Returns are only accepted if the packaging of the product is undamaged, also applies that the costs for returns are at your expense.

Article 8. Orders / communication

8.1 For misunderstanding, delays or improper transmission of orders and messages resulting from the use of Internet or other communication between you and Growcenter Noord / Ventilatiesystemen EU BV or between Growcenter Noord / Ventilatiesystemen EU BV and others, as it relates to the relationship between you and Growcenter Noord / Ventilatiesystemen EU BV. Growcenter Noord / Ventilatiesystemen EU BV is not liable, unless it is a case of intent or gross negligence of Growcenter Noord / Ventilatiesystemen EU BV.

Article 9. Force majeure

9.1 Without prejudice to its other rights, Growcenter Noord / Ventilatiesystemen EU BV in case of force majeure the right, at its option, to suspend the execution of your order or to dissolve the agreement without judicial intervention by informing you of this in writing and without Growcenter Noord / Ventilatiesystemen EU BV is obliged to pay any compensation, unless this would be unacceptable in the circumstances to standards of reasonableness and fairness.

9.2 Force majeure is defined as any failure can be attributed to Growcenter Noord / Ventilatiesystemen EU BV because it is not due to her fault and not under the law, legal act or generally accepted for its account.

Article 10. Miscellaneous

Article 11. Disclaimer

11.5 The Customer undertakes to export any goods to countries where the import of goods to the law of the country constitutes a criminal offense. If by the customer is in breach of this obligation or breach of foreign criminal provisions on the possession or use of products under the laws of the country, then acted in accordance with paragraph 6, 7 and 8 of this disclaimer.

11.7 If the customer the offering at Growcenter Noord / Ventilatiesystemen EU BV purchased products contrary to sale this disclaimer and / or the Dutch Opium Legislation on products and animals and / or cannabis products, sell, deliver or make available for the benefit of the vocational or professional or the scale or professional cannabis cultivation, he is liable for the whole damage Growcenter Noord / Ventilatiesystemen EU BV will suffer as a result of any criminal investigation or prosecution, as well as due to any administrative measures against Growcenter Noord / Ventilatiesystemen EU BV and / or its employees will be required.

11.8 Damage shall include all direct or indirect damage, material and immaterial damage, business interruption, consequential and other damages which Growcenter Noord / Ventilatiesystemen EU BV as a result of the criminal investigation and / or prosecution and / or administrative measures will suffer. This damage is also, but is not limited to, lost profits, legal costs and other types of opinions, damage to reputation, loss of goods, material and immaterial damage.

Article 12. Governing Law and Jurisdiction

12.1 All rights, obligations, offers, orders and agreements to which these conditions apply, including these conditions, only Dutch law.

12.2 All disputes between parties will be submitted exclusively to the competent court in the Netherlands.
